trouble installing

I get an Internal Error 2755.1601 when tring to install ver 2.3 on a XP home compaq PC with MS office 2003 on it.

The internal error 2755, 1601 refers to failed access to Windows Installer service. Do you have updated version of Windows Installer 3.1 (refer to Microsoft knowledge base article 893803)? If not, please download from Microsoft's site and install it first.

Updating Ver of msi.dll did not help.

You've run the update and it just updates the msi.dll ?
Do you have the same error message ?
Try to clean the registry before installing the new version.
